WayPoint Terms of Service

v1.5.0

Summary of the Terms — the full Terms of Service and Privacy Policy govern

1. Who we are and what the app is

WayPoint is WayPoint Dynamics, Inc., a Delaware corporation. WayPoint PM (waypoint.construction) is project-management software for builders: plans, budgets, sub bidding, selections, schedule, change orders and draws. WayPoint is not a contractor, estimator, lender or escrow agent, and it is not a party to your construction contract. Output from our AI features is an estimate, not a measurement or a bid: you check every quantity, dimension, scope and price before you rely on it.

2. WayPoint PM fees

General contractors pay $199 per month per company, free until your first job starts, plus a flat $50 per draw (each homeowner draw, and each subcontractor payment made through WayPoint Pay). The subscription includes three team logins; each extra login is $29 per month. Homeowners pay 3% only on money they choose to send through WayPoint PM, capped at $50,000 per project. Subcontractors pay nothing to WayPoint PM. A professional takeoff is a fixed price set by the project's heated square footage, shown before you order and charged when you order. Every fee is shown in the app before you incur it.

3. WayPoint Marketplace fees (a separate product)

WayPoint Marketplace (waypoint.contractors) is a separate product with its own Terms. There, one side pays for a match and the other never does: a subcontractor hired directly by a homeowner with no general contractor involved pays 5% of the accepted bid, capped at $25,000; a homeowner pays 5% of the accepted bid, capped at $25,000, only when they hire a general contractor there and take the job off-platform, and pays the 3% WayPoint PM fee instead when the job runs here; general contractors pay no Marketplace fee.

4. Payments

Payments sent through WayPoint PM are processed by Stripe and settle directly into the receiving contractor's own Stripe account. WayPoint never holds, pools or controls construction funds: it creates the payment request, applies its fee and records the result. A payment record shows what the parties entered or what Stripe reported; it is not a guarantee by WayPoint that funds settled or that work was performed.

5. Records

Change orders, lien waivers, approvals and payments recorded in WayPoint PM are the parties' own record of their project. Lien waivers, change orders and payments made outside WayPoint are the parties' own business; WayPoint does not enforce them, and it does not decide whether any document is legally sufficient. That depends on your contract and on applicable law.

6. Your data

You own what you upload and create. We use account and project data to run the service as the Privacy Policy describes, including sending plans and project data to the AI and document-processing providers that act as our processors. We do not sell your project data. We may use aggregated and de-identified information (cost ranges, quantities, schedule durations), stripped of names, addresses and other identifiers, to improve the service, and privacy-conscious product analytics to understand aggregate usage and diagnose errors.

7. Communications

You will receive the transactional email and in-app notices needed to run your projects; each email includes a way to stop non-essential messages. Text messages are optional and require your separate consent: you enter your own mobile number, confirm it with a one-time code and turn texts on. Reply STOP to any text to opt out.

8. Ratings

After a job, general contractors may rate the subcontractors who worked on it on quality, schedule, communication and safety. Ratings reflect the opinions of the builders who submit them: submit them honestly and from genuine experience. WayPoint may, but is not obligated to, moderate, refuse or remove ratings that violate the Terms.

9. The full Terms and Privacy Policy govern

This summary is for convenience. The WayPoint Terms of Service and Privacy Policy, linked on this page, are the agreement between you and WayPoint Dynamics, Inc.; if this summary and those documents ever differ, the documents govern. They include an arbitration agreement and class-action waiver, which you may opt out of within 30 days of first accepting them.
